Affiliate Operating Agreement

This agreement describes the entire terms and conditions for participation in the EnviroQuest Intl Associates Program. In this agreement, the term "Participant" refers to you (the applicant), and "sponsoring web site" refers to the web site from which you will link to EnviroQuest Intl. Wherever the agreement refers to "you" or "your", it means "the Participant"; "we" or "our" or "our company" refer to EnviroQuest Intl and our subsidiaries, and the terms "product" or "products" refer to all Living Lightning™ Alpine Air products, which qualify to earn you commission fees from the sale on this web site, as described below.

You can add or remove links at any time: You may add as many links to EnviroQuest Intl, or remove such links at anytime and without prior approval from EnviroQuest Intl.

Commission Fee Qualifying Products: All qualifying products sold by EnviroQuest Intl, originating from a special link or links at your sponsoring web site qualify to earn you commission fees. The following products will be considered "qualifying products":

Products that meet the following criteria:

Products sold to customers who follow specially assigned and fully traceable by us link(s) from your sponsoring web site(s) to our site and submit their order by using EnviroQuest Intl online order form.

The following products will not be considered qualifying products for commission fees: Trade-in orders and/or other orders which include any additional discount(s) over and above the sale price of the product do not qualify for affiliate commissions. The products must be purchased at their regular or sale price as is listed on this web site at the time of purchase, and not lower than the sale price, to generate affiliate commissions for the affiliate partner.

Products sold through any other link to our site other than the specific links (URLs) that you are assigned, for your sponsoring web site.
Products sold through links, which are not traceable. All of our affiliate links must be fully traceable. If we cannot verify the sale came from your web site, we cannot pay you affiliate commission on it. For this reason, do not use any software that blocks affiliate link tracking in any way, and place your links onto your web site accordingly for easy tracking. Moreover, the banner or text link (ID) clicked on your web site and registered in our system at the time of sale must match the banner or text link (ID) that was traced back to your web site for verification. Meaning, if we see that one particular banner was clicked on your web site resulting in sale, yet the traceable link shows a different banner was clicked, this would disqualify any affiliate commission for that sale. Properly placed links will never encounter such a problem, will always match the banner ID clicked by customer resulting in a sale with that same banner ID traced back to your site, and the links themselves could be traced quite easily for quick commission verification.
Any and all purifier accessories, maintenance and replacement parts, such as: Ozone plate, UV Light Bulb, Lint screen, Product manual, etc.

Commission Fee Amount: The purchase price of commission fee qualifying products will count toward the total sales during the calendar month in which such products are sold. Only qualifying products that are sold by EnviroQuest Intl and shipped/sent to a customer, for which EnviroQuest Intl has received full payment, will qualify for a commission fee.

The total of such sales in any given month will generate commission fees, based upon the applicable flat percentage rate commission fee, according to the following schedule:

All Living Lightning™ Alpine Air Products: 13% of gross sales commission fee for all online orders (10%-1st tier / 3%-2nd tier) Each product's commission fee is calculated from the retail purchase price of that product, and then all commission fees are added together to come up with commission fee total. Once you have reached 10 sales in any month, your 1st tier commission fee will increase to 15% for that month. Detailed sales reporting will be provided online in your affiliate administration panel and/or with each commission check sent monthly.

For example, suppose we sell 40 different products during a 30-day month on our web site, and all these sales were originated from your affiliate link. At an average sales price of $497, these sales total $19,880, which we have generated through your affiliate link(s). In this case, your commission fee will be: $2,982 (15% of gross sales, since you've surpassed 10 sales!) You just made an easy $2,982 simply for having our banner ad on your site, and nothing else! What could be easier?

Commission Fee Payment: EnviroQuest International or its designated affiliate program management company will send a commission fee check for the applicable commission fees generated by affiliate sales, once a month, usually on the 20th of each calendar month.

Commission Fees: 10%-1st tier / 3%-2nd tier. Bonus 5% added to 1st tier for the month in which affiliate reaches 10 sales, retroactively. See above for more info.

Returns and Cancellations: If a commission fee qualifying product is returned to us by the customer within a 30-day trial period, its commission fee will be deducted from the next monthly payment sent to the Participant. If there is no next monthly payment, the Participant will be billed.

Order Processing: EnviroQuest Intl will be solely responsible for processing every order placed by a customer following a special link from your sponsoring web site. Order entry will use EnviroQuest Intl secure online ordering process. Order forms, payment processing, shipping, cancellations, returns, and related customer service are sole responsibility of EnviroQuest Intl.

All of the rules, operating procedures and policies of EnviroQuest Intl regarding customer orders and accounts will apply to orders we receive through special links on your sponsoring web site. EnviroQuest Intl reserves the right to reject any order that does not comply with our rules, operating procedures and policies.

Tracking of Sales: EnviroQuest Intl will be solely responsible for tracking sales we make to customers who follow special links from the affiliate's sponsoring web site. The Participant will be solely responsible for ensuring that these special links are formatted properly, a necessary prerequisite to tracking such sales. Statements of product sales activity will be provided to the Participant in realtime with a special URL that they are assigned.

Promotional Techniques: You are free to promote the link to EnviroQuest Intl in all the ways we recommend in the introduction email letter you receive by email immediately after you sign up. Examples of acceptable ways to promote the products are: through banners, text links, letters of recommendation to your newsletter subscribers or your own opt-in client base, and classified ads. However, if you use SPAM (in any way, shape or form, including email and newsgroup spamming), or offer products on any WAREZ, CRACK, or SPAM oriented site, your account will be immediately terminated! Any commission fees not paid up to the point of termination will not be paid to you and will be property of EnviroQuest Intl. NOTE: PPC advertising is currently NOT allowed for affiliates to promote our products, because of conflict with our own PPC advertising. We encourage you to use other promotional methods available from us and our managing affiliate network, which could be just as effective!

References/Testimonials: You agree to cooperate with EnviroQuest Intl in the development of joint press releases and testimonials. You further agree that you will allow us to use your name and your company name in marketing creatives, and make reference to you on our web site.

Copyrighted material: As the Participant, you are solely responsible for ensuring that your own site content, such as: reviews, descriptions and articles of your own products on your site (if applicable at your site) obey all applicable copyright and other laws. You must have express permission to use another party's copyrighted material. EnviroQuest Intl will not be responsible if you use another party's copyrighted material in violation of the law.

EnviroQuest Intl policy applies to all orders: Every customer who buys a product through this program is deemed to be a customer of EnviroQuest Intl. The Participant does not have the authority to make or accept any offer on behalf of EnviroQuest Intl. All EnviroQuest Intl policies regarding customer orders, including product availability, pricing and problem resolution, will apply to these customers. EnviroQuest Intl is not responsible for any representations made by the Participant which contradict our policies.

Product prices and availability: The price charged for every product sold under this program will always be determined by EnviroQuest Intl according to our own pricing policies. In case of any price discrepancies, the price charged to the customer will always be the price listed on EnviroQuest Intl webpage linked from your sponsoring web site.

Product availability can change, and EnviroQuest Intl will present the best information available to all sponsoring sites and its clients regarding product availability.

Web site service interruption: EnviroQuest Intl will make every effort to keep its web site operational. However, certain technical difficulties may, from time to time, result in temporary service interruptions. The Participant agrees not to hold EnviroQuest Intl liable for any of the consequences of such interruptions.

Trademarks, Trade Names & Patents: You hereby recognize our right of ownership of all Trademarks, Trade Names, and Patents associated with these services. You will act consistently with these rights and act to preserve them in the course of marketing and sales of these services. We grant you the right to our Trademarks and Trade Names in connection with marketing and sales of these services.

Term of the Agreement: The Participant may receive commission fee payments on qualifying orders that are placed during the term of this agreement. This term will begin on the date that your application is approved by EnviroQuest Intl, and shall end when canceled by either party as provided below.

Commission Fees earned through the date of expiration or cancellation of this agreement will remain payable only if the products are not returned or canceled from their orders. Payment of the final commission fee to the Participant may be withheld for a reasonable time in order to ensure that the correct amount is paid.

The agreement may be modified: EnviroQuest Intl reserves the right to change any of the terms and conditions in this agreement, at any time and in its sole discretion, by posting a new agreement on our web site.

Cancellation of this agreement: Either EnviroQuest Intl or the Participant, acting in their sole discretion, may choose to cancel this agreement at any time by written or electronic (email) notice of cancellation to the other.

Acceptance into our Affiliate Program: EnviroQuest Intl reserves the right NOT to accept your application for any reason whatsoever without incurring any liablility for such action, for reasons including, but not limited to unsuitable sites that:

Promote sexually explicit material;
Promote violence or hate toward any persons or groups;
Promote illegal activities; Promote alcohol, tobacco, gambling/lottery in any way;
Promote the use of pyramid, "ponzi", or similar investment schemes;
Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age;
Contain, in our sole judgment, material that is defamatory, fraudulent, or harassing to us or any third party;
Include "living air", or any and all variations or misspellings thereof in their domain names;
Otherwise violate intellectual property rights of EnviroQuest Intl, EnviroQuest International^SM or its subsidiaries or suppliers;
Disparage EnviroQuest Intl, EnviroQuest International^SM or its subsidiaries or suppliers;
Are under construction or not live at the time of application;
Require a username and password to access; Are non-US based or are sites that primarily serve a non-US based audience;
Are unable to direct a reasonable amount of traffic by way of sales volume, clicks and page views to our site.

In addition, we will not accept sites that provide a portion of their Commission Fees or affiliate benefits to sites or organizations that violate any of the above criteria.

If your site is accepted to our Affiliate Program and is engaged in the practice of directing, transferring, or donating to any school or other education-related foundation, charitable organization or program, any portion of the Commission Fees paid to you by EnviroQuest Intl, EnviroQuest Intl will work with you to determine appropriate copy to post on your site to make clear that EnviroQuest Intl may not endorse any of the activities conducted by the foundation, charitable organization or program.

Regardless of your acceptance in the Affiliate Program, we may terminate this Agreement for any reason, at any time.

The terms of this Agreement and our acceptance criteria are subject to change at any time without prior notice.

All decisions for acceptance into the EnviroQuest Intl Affiliate Program will be made within our sole discretion.

If your Application is not accepted, you may reapply to the Program at any time in the future, once the reason you have not been approved the first time has been resolved.

EnviroQuest Intl makes no warranties, representations or conditions with regard to the program or, except as expressly set forth in EnviroQuest Intl then current product sales policies, any products sold thereunder, whether express or implied, arising by law or otherwise, including without limitation any implied warranty of merchantability or fitness for a particular purpose or non-infringement or any implied warranty arising out of course of performance, course of dealing or usage of trade.

Any and all claims or representations seen on this web site, as to income earnings, are not to be considered as average earnings. Other Affiliates' testimonials are not representative. Any earnings or income statements, or earnings or income examples, are only estimates of potential earnings or income we think you could earn. Monetary and income results may vary and are based on many factors beyond our control. By participating in our Affiliate program, you unconditionally agree that our company is not responsible for the success or failure of your business venture and/or decisions relating to any information presented by our company, or our company products or services. If you're not sure whether our Affiliate program is for you or not, before joining the program you are advised to seek counsel of a qualified professional to help you make a decision. All disclosures and disclaimers made herein or on our site, apply equally to any offers, prizes, or incentives that may be made by our company.

Limitation of Damages: EnviroQuest Intl and its subsidiaries shall have no liability for any indirect, incidental, special or consequential damages or any loss of revenue or profits arising under or with respect to this agreement or the program, even if EnviroQuest Intl has been advised of the possibility of such damages. Further, EnviroQuest Intl and its subsidiaries aggregate liability arising under or with respect to this agreement or the program shall in no event exceed the total commission fees paid or payable by EnviroQuest Intl to Participant under this agreement. Further, should a dispute arise, if it cannot be settled peacefully by direct communication, it will then be settled through the process of mediation, whereby both parties reach an agreement. The place for mediation will be chosen by EnviroQuest Intl.

Should EnviroQuest Intl or its subsidiaries face any legal fees and/or challenges as a result of Participant's SPAM or any other unlawful practice, the Participant agrees to reimburse our company for any such legal fees and/or challenges, and Participant agrees to hold himself or herself fully accountable for Participant's actions that resulted in SPAM, or for any other unlawful action the Participant has taken.

Miscellaneous: Participant and EnviroQuest Intl are independent contractors and nothing in this agreement is intended to or will create any form of partnership, joint venture, agency, franchise, sales representative or employment relationship between the parties. Participant shall not assign this Agreement, by operation of law or otherwise, without the prior written consent of EnviroQuest Intl. Subject to the foregoing restriction, this agreement is binding upon, insures to the benefit of and is enforceable by the parties and their respective successors and assigns.

Governing Law: This agreement shall be governed by the laws of the United States without reference to its choice of law principles.
